1. Agreement to Terms

By accessing or using the hatiOS platform ("Service"), operated by Marviy Pte Ltd ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

The Service includes: hatios.com, hatiosai.com, app.hatiosai.com, api.hatiosai.com, all associated SDKs, APIs, documentation, and dashboard.

2. Description of Service

hatiOS is an AI agent governance platform providing observability, policy enforcement, and human-in-the-loop intervention for autonomous AI agents. The Service captures complete agent reasoning traces, enforces deterministic guardrails at the proxy layer, and enables real-time human intervention in live agent sessions.

The Service is provided as SaaS (cloud-hosted) and self-hosted options.

3. Account Registration & Security

When you create an account, you must provide accurate and complete information. You are responsible for:

All rights, title, and interest in the Service, including but not limited to: the hatiOS software, Rust proxy engine, policy engine, flight recorder, dashboard, APIs, SDKs, documentation, branding, logos, and all related intellectual property are owned exclusively by Marviy Pte Ltd.

Trademarks: "hatiOS", the hatiOS wolf circuit logo, "Agent Flight Recorder", "Pause & Pivot", and "The Operating System for Trusted Autonomy" are trademarks of Marviy Pte Ltd.

Customer ownership: Customer retains ownership of: their agent code, their data processed through the Service, their policy configurations, and their organization settings.

Customer grants Marviy Pte Ltd a limited license to process Customer Data solely for the purpose of providing the Service. No transfer of IP rights occurs through use of the Service.

Feedback and suggestions provided by customers may be used by Marviy Pte Ltd to improve the Service without obligation.

6. Data & Privacy

7. Service Tiers & Billing

Billing is processed via Stripe or Google Cloud Marketplace. Non-payment may result in service suspension after a 30-day grace period. Downgrade or cancellation is effective at the end of the current billing period.

8. SLA & Availability

Marviy Pte Ltd targets 99.9% uptime for Pro and Enterprise tiers. No SLA guarantee is provided for the Free tier.

Scheduled maintenance windows are communicated at least 48 hours in advance. Marviy Pte Ltd shall not be liable for service interruptions caused by events beyond reasonable control, including natural disasters, war, terrorism, government actions, network failures, or third-party service outages (force majeure).

9. Limitation of Liability

The Service is provided "as is" and "as available". Marviy Pte Ltd is not liable for:

To the maximum extent permitted by law, Marviy Pte Ltd's aggregate liability is limited to fees paid by Customer in the prior 12 months. Marviy Pte Ltd excludes all liability for consequential, incidental, indirect, and punitive damages.

10. Indemnification

Customer agrees to indemnify and hold harmless Marviy Pte Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from:

Either party may terminate these Terms with 30 days written notice. Marviy Pte Ltd may terminate immediately for material breach.

Upon termination, Customer may export their data within 30 days, after which data will be permanently deleted.

The following sections survive termination: Intellectual Property, Limitation of Liability, Indemnification, and Governing Law.

12. Governing Law

These Terms are governed by the laws of the Republic of Singapore. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

Both parties agree to attempt good-faith resolution of any dispute before initiating legal proceedings.

13. Changes to Terms

Marviy Pte Ltd may update these Terms with 30 days notice. Continued use of the Service after the notice period constitutes acceptance of the updated Terms. Material changes will be communicated via email and dashboard notification.
